Terms and Conditions for Deinspar Ltd Artist Platform

These Terms and Conditions ("Agreement") govern the relationship between artists ("Artists" or "you") and Deinspar Ltd ("Company," "we," "us," or "our") regarding the use of our online marketplace platform for the creation, publication, and sale of artistic designs.
1. Platform Overview and Services
1.1 Deinspar Ltd operates an online marketplace platform where registered Artists can upload, publish, and sell their original artistic designs (including but not limited to posters, prints, and digital artwork).
1.2 The Company provides comprehensive services including: content hosting, e-commerce infrastructure, payment processing, order fulfillment, production management, logistics coordination, customer service, and marketing support.
1.3 Artists retain ownership of their intellectual property while granting the Company necessary licenses to operate the marketplace and fulfill customer orders.
1.4 Revenue sharing is conducted through a commission-based model as detailed in Section 4 of this Agreement.
2. Artist Registration and Account Management
2.1 Artist registration is conducted exclusively through our official registration portal at b2b.deinspar.com.
2.2 All registration information must be accurate, complete, and kept up-to-date. False or misleading information may result in immediate account termination.
2.3 Account approval is subject to our review process and quality standards. The Company reserves absolute discretion in approval decisions and is not obligated to provide reasons for rejection.
2.4 The Company reserves the right to suspend, deactivate, or terminate accounts at any time for violations of these terms, suspicious activity, or at our sole discretion.
2.5 Artists are responsible for maintaining the security and confidentiality of their account credentials.
3. Intellectual Property Rights and Content Licensing
3.1 Artists warrant and represent that they are the original creators or authorized licensees of all uploaded content and possess all necessary rights, licenses, and permissions for commercial use.
3.2 Artists guarantee that their content does not infringe upon any third-party intellectual property rights, including but not limited to copyrights, trademarks, patents, or publicity rights.
3.3 By uploading content to the platform, Artists grant Deinspar Ltd a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display the content in connection with operating the marketplace.
3.4 The license granted includes rights necessary for production, marketing, sales, customer service, and platform operations, including the right to sublicense to third-party service providers.
3.5 Artists retain full ownership and copyright of their original works. The Company does not claim exclusive rights to Artist content.
3.6 Artists may remove their content from the platform at any time through their Creator Dashboard, though this will not affect completed transactions or orders in progress.
3.7 Artists indemnify and hold harmless the Company against any claims, damages, or legal action arising from copyright infringement or unauthorized use of third-party content.
4. Commission Structure and Payment Terms
4.1 Artists receive a predetermined commission rate for each successfully completed sale. Commission rates are individually negotiated and clearly displayed in the Artist's Creator Dashboard.
4.2 Commissions are calculated based on the net sale price after deducting applicable taxes, refunds, chargebacks, and processing fees.
4.3 Monthly settlement periods run from the 1st to the last day of each calendar month. Final calculations are completed within 5 business days following month-end.
4.4 Payments are processed within 10 business days after the settlement period, provided the minimum payout threshold of £25.00 has been reached.
4.5 If the minimum threshold is not met, earnings will accumulate until the threshold is reached in subsequent periods.
4.6 Payment methods include PayPal and direct bank transfer (BACS). Artists must provide accurate payment details and maintain current information.
4.7 The Company is not responsible for delays or fees imposed by third-party payment processors or banks.
4.8 Detailed sales reports, earnings summaries, and payout history are available through the Creator Dashboard.
5. Platform Fees and Transaction Costs
5.1 Platform registration, content upload, and basic marketplace services are provided free of charge to Artists.
5.2 A service fee of 6.5% is deducted from each payout to cover payment processing, transaction fees, banking costs, platform maintenance, and administrative operations.
5.3 This fee structure is transparent and clearly disclosed during the registration process and in Artist communications.
5.4 No additional hidden fees, subscription charges, or recurring costs are imposed on Artists.
5.5 Currency conversion fees, if applicable, may be charged by payment processors for international transactions.
6. Tax Obligations and Compliance
6.1 Artists operate as independent contractors and are solely responsible for all tax obligations related to their earnings, including income tax, value-added tax (VAT), and any other applicable taxes.
6.2 The Company does not provide tax advice or prepare tax documents for Artists. Artists should consult qualified tax professionals regarding their obligations.
6.3 Deinspar Ltd does not issue VAT invoices to Artists, as Artists are responsible for their own VAT registration and compliance where applicable.
6.4 Artists must comply with all applicable tax laws in their jurisdiction of residence and any jurisdictions where they conduct business.
6.5 The Company disclaims all liability for Artist tax compliance and reserves the right to request tax documentation where legally required.
7. Content Standards and Prohibited Material
7.1 All uploaded content must comply with applicable laws, regulations, and platform community standards.
7.2 Prohibited content includes but is not limited to: illegal material, content promoting violence or hatred, sexually explicit material, content infringing intellectual property rights, misleading or fraudulent content, and material violating third-party rights.
7.3 The Company reserves the right to review, moderate, and remove any content at our sole discretion without prior notice.
7.4 Repeated violations of content standards may result in account suspension or termination.
7.5 Artists are encouraged to report inappropriate content through official channels.
8. Term, Termination, and Account Closure
8.1 This Agreement commences upon account approval and continues for an indefinite term unless terminated in accordance with these provisions.
8.2 Either party may terminate this Agreement with fourteen (14) calendar days' written notice, effective at the end of any calendar month.
8.3 The Company may terminate this Agreement immediately without notice in cases of material breach, fraudulent activity, legal violations, or circumstances threatening platform integrity.
8.4 Upon termination, Artist access to the platform will cease, though content may remain temporarily for order fulfillment purposes.
8.5 Outstanding commission payments will be processed according to normal payout schedules, subject to any applicable deductions or withholdings.
8.6 Termination does not affect completed transactions or ongoing legal obligations between the parties.
9. Platform Availability and Technical Support
9.1 The Company strives to maintain platform availability but cannot guarantee uninterrupted service due to maintenance, updates, or technical issues.
9.2 Scheduled maintenance will be communicated in advance where reasonably possible.
9.3 Technical support is provided through official channels as outlined in the Creator Dashboard.
9.4 The Company is not liable for temporary service interruptions or technical difficulties beyond our reasonable control.
10. Limitation of Liability and Disclaimers
10.1 The Company's liability is limited to the maximum extent permitted by applicable law.
10.2 The Company disclaims responsibility for the accuracy, legality, or quality of Artist-uploaded content and any resulting customer disputes or legal issues.
10.3 The platform is provided "as is" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
10.4 The Company's total liability to any Artist shall not exceed the total commissions paid to that Artist in the twelve (12) months preceding the claim.
10.5 The Company is not liable for indirect, consequential, punitive, or incidental damages under any circumstances.
11. Data Protection and Privacy
11.1 Personal data processing is governed by our Privacy Policy, which forms an integral part of this Agreement.
11.2 The Company complies with applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR).
11.3 Artists consent to the processing of their personal data as necessary for platform operations, payment processing, and legal compliance.
11.4 Artists have rights regarding their personal data as outlined in our Privacy Policy and applicable law.
12. Amendments and Updates
12.1 The Company reserves the right to modify these Terms and Conditions at any time to reflect legal requirements, business needs, or platform developments.
12.2 Material changes will be communicated to Artists at least fourteen (14) days in advance via email or Creator Dashboard notifications.
12.3 Continued use of the platform after the effective date of changes constitutes acceptance of the updated terms.
12.4 Artists who object to changes may terminate their agreement in accordance with Section 8.
13. Governing Law and Dispute Resolution
13.1 This Agreement is governed exclusively by the laws of England and Wales, without regard to conflict of law principles.
13.2 Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13.3 If any provision of this Agreement is deemed invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
13.4 This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the subject matter.
